1. Acceptance of Terms
Welcome to the official website of Manley Laboratories, LLC (“Manley,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website located at www.manley.com, including any content, functionality, and services offered on or through the website (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understand, and agree to be bound by these Terms, as well as our Privacy Notice (see Section 7 below). If you do not agree with any part of these Terms, you must not use the Site.
We may update or modify these Terms from time to time at our sole discretion. If we make changes, we will post the revised Terms on this page and update the Effective Date above. Your continued use of the Site after any changes constitute your acceptance of the new Terms. It is your responsibility to review these Terms periodically for updates.

Manley grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Site and its content for your own informational and non-commercial use. The overall design, selection, arrangement, and “look and feel” of the Site are also protected trade dress.
Manley’s trademarks and service marks (including, but not limited to, MANLEY®, LANGEVIN®, VOXBOX®, VARIABLE MU®, STINGRAY®, TUBES RULE®, and other product names and logos) are the property of Manley Laboratories, LLC. You are not granted any right or license to use any trademarks, logos, or service marks displayed on the Site without our prior written permission. All other trademarks on the Site are the property of their respective owners and are used for identification purposes only. Unauthorized use of any Manley intellectual property is strictly prohibited.
4. Prohibited Conduct
In using our Site, you agree NOT to engage in any of the following activities, nor assist others to do so:
Violating Laws: Use the Site for any unlawful purpose or in any manner that violates any applicable local, state, national, or international law or regulation.

Manley reserves the right to monitor usage of the Site and to investigate and take appropriate action (including removing content, suspending or terminating access, and contacting law enforcement) against any user who violates this Section or any other provision of these Terms.
5. Accounts, Registrations, and Submissions
Currently, manley.com does not require general user registration to browse the Site. Certain features – such as product registration forms, service requests, or event sign-ups – may require you to provide personal information (like your name, contact information, product serial number, etc.). You agree to provide accurate, current, and complete information when submitting any forms or communications on the Site, and to promptly update such information if it changes.
If the Site in the future offers user accounts or password-protected areas, you will be responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 8. Disclaimers of Warranties
Manley provides this Site and all Content on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, either express or implied. 9. Limitation of Liability
To the maximum extent allowed by applicable law, Manley Laboratories, LLC and its officers, directors, employees, agents, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) the Site or any Content, even if we have been advised of the possibility of such damages. This limitation of liability includes, but is not limited to, any loss of profits, loss of data, business interruption, computer damage, or system failure, or any other commercial damages or losses.
In no event shall Manley’s total cumulative liability to you for any direct damages, losses, or causes of action (whether in contract, tort, or otherwise) exceed the amount (if any) that you have paid to Manley for the specific use of the Site or services in question during the six (6) months immediately preceding the event giving rise to the claim. Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions our liability will be limited to the fullest extent permitted by law.
Nothing in these Terms is intended to exclude or limit any condition, warranty, right, or liability which may not be lawfully excluded or limited. In particular, if you are a consumer, you may have certain legal rights under your local laws that cannot be waived by contract. These Terms shall be interpreted in accordance with any such statutory rights.
10. Indemnification
You agree to indemnify, defend, and hold harmless Manley Laboratories, LLC, as well as our affiliates, partners, officers, directors, employees, agents, contractors, and licensors, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) that arise out of or relate to: (a) your use or misuse of the Site or any Content; (b) your violation of these Terms or of any law or regulation; or (c) your infringement of any intellectual property or other rights of any third party.
Manley reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Manley. This indemnification obligation will survive any termination of your use of the Site or these Terms.
11. Termination
These Terms remain in effect until terminated. Manley may terminate or suspend your access to the Site (in whole or in part) at any time, with or without notice, for any conduct that we, in our sole discretion, believe is disruptive, unlawful, or in violation of these Terms or any applicable law. You may discontinue use of the Site at any time.
Upon any termination of your access, your right to use the Site will immediately cease, and you must destroy any materials (including any copies) obtained from the Site that are in your possession. Sections that by their nature should survive termination (such as provisions regarding intellectual property, warranties disclaimer, limitation of liability, indemnification, governing law, and dispute resolution) shall continue to remain in effect after termination of these Terms or your access rights.
12. Governing Law and Dispute Resolution
These Terms of Use and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or your use of the Site.
Binding Arbitration: Except for claims seeking injunctive or equitable relief for alleged infringement of intellectual property, any controversy or claim arising out of or relating to these Terms or your use of the Site shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in California (unless you and Manley agree otherwise in writing), and will be conducted in English by a single arbitrator. Each party shall bear its own costs and share equally in the arbitrator’s fees; however, the prevailing party in the arbitration shall be entitled to an award of reasonable attorneys’ fees and costs, to the extent permitted under law.
By agreeing to arbitration, you understand that you are waiving your right to a trial in court and to have your case decided by a judge or jury. You also agree that any arbitration will be conducted only on an individual basis and not in a class, consolidated, or representative action. If you do not agree to this arbitration provision, do not use the Site.
Notwithstanding the foregoing, either party may seek interim relief (such as a temporary restraining order or preliminary injunction) from a court of competent jurisdiction in California as necessary to protect its rights or property pending the completion of arbitration. In addition, if this arbitration clause is found unenforceable or inapplicable, you and Manley agree to the exclusive jurisdiction of the state and federal courts located in the State of California to resolve any such disputes, and you consent to venue and personal jurisdiction in those courts.
Time Limit to Bring Claims: To the extent permitted by law, any claim or cause of action arising out of or relating to the Site or these Terms must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred. This provision does not apply to residents of jurisdictions that prohibit such time limitations.
13. Miscellaneous
No Waiver: No failure or delay by Manley in exercising any right, power, or remedy under these Terms shall operate as a waiver of any such right or provision. Any waiver must be in writing to be effective, and a waiver of any one breach or default shall not constitute a waiver of any subsequent breach or default.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision shall be deemed modified so that it is valid and enforceable to the greatest extent allowed by law, reflecting the parties’ intentions as closely as possible.
Entire Agreement: These Terms (along with our Privacy Notice and any other legal notices or guidelines posted on the Site) constitute the entire agreement between you and Manley regarding your use of the Site. They supersede all prior or contemporaneous agreements, understandings, or communications between you and us, whether written or oral, relating to the subject matter herein. No amendment to these Terms will be binding unless made in writing and signed by an authorized representative of Manley, or posted by Manley to the Site as an updated version of these Terms.
No Third-Party Beneficiaries: These Terms are for the benefit of you and Manley (including our successors and assigns) only. Except as expressly provided in these Terms, no third party has any rights to enforce any provision of these Terms.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Manley may freely assign these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise.
Headings: Section titles or headings in these Terms are for convenience only and have no legal or contractual effect.
